  • You must be at least the age of majority in your jurisdiction (or have verifiable consent from a parent/guardian) to use the Services.
  • When creating an account, you must provide accurate and complete information and keep it updated.
  • You are responsible for safeguarding your login credentials and for activities under your account.
  • We may suspend or terminate accounts that violate these Terms or applicable law.

3. Acceptable Use

You agree not to misuse the Services. Prohibited activities include, but are not limited to:

  • Violating laws or regulations; infringing intellectual property or privacy rights.
  • Uploading harmful code, scraping without permission, or disrupting system integrity.

4. Purchases & Payments

  • By placing an order, you represent that you are authorized to use the selected payment method and you agree to pay all charges, including applicable taxes and fees.
  • Deliveries and lead times may vary based on location, availability, and logistics constraints. Title and risk of loss pass to you upon delivery to the address or pickup point you specify, unless otherwise stated.

Information, recommendations, and content (including climate-smart advisory, farm management tips, or analytics) are provided for general informational purposes only. Outcomes vary based on local conditions and practices. You remain solely responsible for on-farm decisions. Always consider consulting qualified agronomists or extension officers for site-specific advice.

6. Marketplace & Logistics

  • We may facilitate sourcing, aggregation, or offtake arrangements through our Marketplace and decentralized logistics network.
  • Unless expressly stated, Amarna Agro is not a party to sales between third-party buyers and sellers and is not responsible for third-party obligations, product quality claims, or delivery failures.
  • Participants must comply with applicable standards, traceability requirements, and anti-fraud/anti-counterfeit rules. We may suspend listings or participants for violations.

7. Intellectual Property

  • The Services, including content, trademarks, logos, and software, are owned by or licensed to Amarna Agro and are protected by law.
  • You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services for lawful purposes.
  • Except as permitted by law, you may not copy, modify, distribute, sell, or lease any part of the Services without prior written consent.

8. Privacy & Data Protection

Your use of the Services is also governed by our Privacy Policy. We process personal data in accordance with applicable laws such as the Nigeria Data Protection Act (NDPA) and, where relevant, the EU/UK GDPR. You are responsible for securing any account credentials and for complying with data protection obligations applicable to your use.

The Services may include integrations or links to third-party websites or tools. We do not control and are not responsible for third-party content, policies, or practices. Your use of third-party services is at your own risk and subject to their terms and policies.

10. Disclaimers & Warranties

  • EXCEPT AS EXPRESSLY PROVIDED, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
  • We do not warrant that the Services will be uninterrupted, secure, error-free, or that content will be accurate or reliable.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AMARNA AGRO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT WILL OUR AGGREGATE LIABILITY EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US FOR THE SERVICE GIVING RISE TO THE CLAIM IN THE 6 MONTHS PRECEDING THE EVENT, OR (B) USD $100.

12. Indemnification

You agree to defend, indemnify, and hold harmless Amarna Agro from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Services or your violation of these Terms.

13. Suspension & Termination

We may suspend or terminate your access to the Services at any time, with or without notice, if we reasonably believe you have violated these Terms, engaged in fraud or misconduct, or if required by law. Upon termination, your right to use the Services will cease immediately.

14. Governing Law & Dispute Resolution

  • These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict of law principles.
  • Before filing a claim, the parties agree to attempt to resolve disputes informally within 30 days of written notice.
  • Subject to mandatory law, disputes shall be submitted to the exclusive jurisdiction of the courts located in Cross River State, Nigeria.

15. Changes to the Terms

We may update these Terms from time to time. Material changes will be posted on this page with an updated Effective Date. Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
